Work Schedule: 40 hours per week (9:00 a.m. to 6:00 p.m.)
Duties: Vice President with Goldman Sachs & Co. LLC in New York, NY. Advise Natural Resources companies and their boards of directors on the impact of acquisitions, divestitures, mergers, leveraged buyouts, spin-offs, shareholder activists, and debt, equity and other capital issuances, including initial public offerings, and other complex transactions generally in excess of $1.0 billion. Leverage Chemicals sector-specific industry knowledge to develop ideas and proposals for clients’ future strategic actions and corporate strategy, and to create and pitch presentations to prospective clients. Build and maintain existing relationships in the Chemicals sector, with frequent business travel throughout the U.S. and internationally. Work closely and develop relationships with senior client executives (CEO, CFO, COO, Head of Business Development) as well as senior legal professionals and other advisory professionals. Lead, manage, mentor and train multiple teams of associates and analysts while coordinating closely with internal and external senior team and executives. Perform complex financial due diligence on capital structure, funding quality and asset quality for Natural Resources companies, in particular in the Chemicals sector. Manage 2-3 Associates and Analysts.
Job Requirements: Bachelor’s degree (U.S. or foreign equivalent) in Business Administration, Finance, Accounting or a related field. Seven (7) years of experience in the job offered or related position. Must have seven (7) years of experience with: Analyzing and executing a variety of corporate finance transactions valued at least $1.0 billion, including high yield and senior debt financings and equity offerings; Performing extensive financial and business due diligence, including interviewing senior management, inspecting product sites, reviewing strategic operating plans and analyzing historical and projected financial performance; Drafting and reviewing securities offering documents, sale and purchase agreements and other legal contracts for complex financial transactions, such as Mergers & Acquisitions and complex debt and equity financings; Utilizing corporate finance concepts and accounting standards to perform valuation analyses, including discounted cash flow analysis, leveraged buyout analysis, accretion/dilution and ability-to-pay analysis, public trading comparables, precedent transactions, and sum-of-the-parts analysis; and executing detailed analysis of the pro forma impact of debt, equity and other capital issuances, spin-offs, divestitures, and changes in capital allocation policies including dividend and share repurchases. Must have two (2) years of experience with: Working in the Natural Resources sector, particularly in the Chemicals sector; Demonstrating knowledge of the chemicals industry; and leading M&A transaction executions involving deal origination, information memorandum preparation, strategic and financial partner approach strategies, valuation and combination analyses, transaction negotiation and fairness opinions and Board presentations. FINRA Series 79 license required. Travel 25% of time to meet with clients.
