    Work Schedule: 40 hours per week (9:00 a.m. to 6:00 p.m.)

    RESPONSIBILITIES AND QUALIFICATIONS

    Duties: Associate with Goldman Sachs & Co. LLC in San Francisco, CA. Structures, analyzes and executes M&A, equity and debt financing transactions, including cross-border transactions with Europe and Asia, on behalf of companies in the Technology, Media and Telecom (TMT) space (specializing in transactions specific to gaming and media / entertainment). Develops new and strengthens existing CEO / CFO level client relationships in the gaming, media & entertainment sectors. Develops complex presentations and financial models using Microsoft Office, Excel and PowerPoint for the TMT sector, such as M&A, DCF, and LBO valuations. Helps senior team evaluate models to develop key judgments. Leads dialogue in gaming and media / entertainment-related transactions when liaising with senior bankers and product experts throughout the Firm, in the U.S., Europe and Asia. Analyzes accounting and regulatory statements, debt and equity filings and documents, financial projections and models as prepared in various formats by clients. Supervises, guides and coordinates Junior professionals’ work product, including reviewing financial modeling work and presentations prepared for live deals, corporate board meetings, investment banking pitches and client service projects on corporate finance topics, and supervises and reviews memoranda required to gain internal approvals from typical investment banking committees. Presents to CEO / CFO level corporate clients in the TMT sectors on topics such as M&A, corporate strategy, strategic alternatives, financing alternatives, capital markets activities, restructuring alternatives and corporate governance issues at board meetings and pitches and on conference calls. Interacts with Senior management on a daily basis to execute projects, provide updates and advice and prepare presentation materials. Manages live deal execution, including running due diligence processes, negotiating non-disclosure agreements and other legal documents with lawyers and potential buyers, organizing and attending deal and non-deal roadshows and liaising with other investment banks and other parties within the Investment Banking division. Initiates and solicits dialogue with new clients to the Firm on strategic alternatives and capital markets opportunities for those clients. Attends industry specific conferences to meet and interact with new clients. Generates ideas / topics for client meetings with existing clients (e.g. assists clients in identifying potential acquisition targets) and socializes those ideas with the internal deal teams, the clients, CEO, CFO and management teams. Prepares financing and offering documents. Assists companies in preparation of materials to present to potential buyers of the company or their securities especially as it relates to e-commerce companies. Reviews and comments on complex legal documents including offering documents and stock purchase agreements.

     

    Job Requirements: Bachelor’s degree (U.S. or foreign equivalent) in Business Administration, Economics, Finance, or a related discipline. Two (2) years of experience in the job offered or a related investment banking position. Prior experience must include two (2) years of experience with: developing complex presentations and financial models using Microsoft Office, Excel and PowerPoint; building and reviewing financial models including operating models, M&A and LBO valuations and models; and developing new and strengthening existing client relationships. Prior experience must include one (1) year of experience with: leading teams in structuring and executing cross-border M&A, equity and debt financing transactions valued at $500+ million; presenting to senior executives such as CEO and CFO clients on M&A, corporate strategy and financing alternatives; and supervising and coordinating the work of junior team members while coordinating with senior team members and various product experts. Travel Required approximately 25% of time as the position requires in-person interaction demanding a significant amount of travel both domestically and internationally.
