    Job Summary & Responsibilities


    The Legal Department is looking for an attorney to join the structured investments legal team.  The position offers the opportunity to work closely with business and other cross divisional stakeholders to provide legal advice in connection with all facets of structured securities and structured CDs that reference the returns from different asset classes, such as equities, commodities, interest rates and FX. The attorney will be responsible for reviewing offering documentation in connection with structured products issued by both Goldman Sachs and by third party issuers.  The role will play an integral part in assisting with regular deal flow as well as customized and new product initiatives.


    Principal Responsibilities

    • All facets of structured product offerings of Goldman Sachs and its affiliates and subsidiaries, specifically:
      • reviewing offering documentation to ensure compliance with all securities laws and internal policies/procedures;
      • drafting and negotiating distribution agreements;
      • reviewing marketing materials; and
      • assisting in the development of new structured products, including novel payouts, complex underliers and proprietary/thematic products.
    • Review of offering documentation for structured products issued by third parties.
    • Implementation of regulatory requirements and developments affecting structured products.
    • Instruct/work with/manage external counsel.


    • Capital Markets lawyer with 7+ years of experience at a top tier law firm and/or leading financial services company.
    • Experience with structured products is preferred.
    • Self-starter with excellent judgment, capable of juggling multiple projects and working with a minimum of supervision.
    • Should possess strong communication and interpersonal skills and be a good team player.
    • Should have the ability to respond creatively and quickly in a fast-paced, changing environment.
    • Should possess excellent organizational skills with the ability to manage several simultaneous projects under deadlines.
