Work Schedule: 40 hours per week (9:00 a.m. to 6:00 p.m.)
Duties: Vice President with Goldman Sachs & Co. LLC in New York, NY. Junior Vice President in Investment Banking Division. Structure, analyze and execute transactions on behalf of companies in the natural resources sector. Review proprietary financial models, including Mergers & Acquisitions (M&A), Discounted Cash Flow (DCF), and Leveraged Buyout (LBO) valuations in the natural resources sector and help senior team evaluate models to develop key judgments. Analyze accounting and regulatory statements, debt and equity filings and documents, financial projections and models as prepared in various formats by clients. Lead dialogue when liaising with senior bankers and product experts throughout the firm. Review, guide and coordinate junior professionals’ work product, including reviewing financial modeling work and presentations prepared for transactions, corporate board meetings, investment banking pitches and client service projects on Corporate Finance topics; review memoranda required to gain internal approvals from typical investment banking committees. Present to CEO / CFO level corporate clients in the natural resources sector at board meetings, pitches and/or conference calls on topics including strategic alternatives, capital markets activities, restructuring alternatives and corporate governance issues. Interact daily with senior management to execute projects, provide updates and advice and prepare presentation materials. Manage live deal execution in the natural resources sector, including running due diligence processes, negotiating non-disclosure agreements and other legal documents with lawyers and potential buyers, organizing and attending deal and non-deal roadshows and liaising other investment banks and other parties within the Investment Banking division. Draft financing and offering documents. Assist companies in preparation of materials to present to potential buyers of the company or their securities. Perform data analysis to help clients make capital structure and M&A decisions.
Job Requirements: Master’s degree (U.S. or foreign equivalent) in Finance, Economics, Business Administration or a related field and three (3) years of experience in the job offered or in a related role or Bachelor’s degree (U.S. or foreign equivalent) in Finance, Economics, Business Administration or a related field and five (5) years of experience in the job offered or in a related role. Must have three (3) years of experience with: building and reviewing financial models in Excel or related spreadsheet tools, including operating models, M&A, DCF and LBO valuations and models that incorporate Corporate Finance concepts, risk/return dynamics and GAAP and non-GAAP (for foreign equivalent) principles for companies within the natural resources sector; working in the Natural Resources sector, particularly in the Power, Utilities and Renewables sectors and demonstrating knowledge of the Power, Utilities and Renewables industries; coordinating multiple work streams concurrently with senior bankers and various product experts across the division; M&A or other technical corporate finance work, including executing debt or equity financing transactions in excess of $100 million and executing public mergers and acquisitions transactions in excess of $500 million; facilitating M&A transactions involving deal origination, information memorandum preparation, strategic and financial partner approach strategies, valuation and combination analyses, transaction negotiation and fairness opinions and Board presentations; drafting and reviewing securities offering documents, sale and purchase agreements and other legal contracts for complex financial transactions, including M&A and complex debt and equity financings; executing detailed analysis of the pro forma financial and tax impact of debt, equity and other capital issuances, spin-offs, divestitures, and changes in capital allocation policies, including dividend and share repurchases; developing complex presentations and presenting to senior executives including the CEO and CFO of clients on M&A, corporate strategy and financing alternatives; coordinating multiple live work streams concurrently and coordinating with clients, external legal counsels, financial co-advisors and senior deal team members to ensure smooth execution of deals; and analyzing and performing business and financial diligence on companies’ operating statistics, GAAP financial statements, non-GAAP financial adjustments, and federal and state regulatory filings, including those from Securities and Exchange Commission (SEC), Federal Energy Regulatory Commission (FERC), Public Service Commission (PSC). FINRA Series 79 License required. Travel required 20% of time for client marketing meetings and live deal execution. All travel reimbursed by the firm.
